Data Contributor Agreement

1. Introduction
This Data Contributor Agreement (“Agreement”) governs your participation as a data contributor to Annote (“Annote,” “we,” “us,” or “our”). By using our platform and services (“Services”), you agree to the collection, processing, annotation, and commercialization of audio and related data as described in this Agreement.
2. Role as a Data Contributor
You voluntarily participate in the Services and agree to contribute audio and related data (“Contributed Data”). This may include, but is not limited to:
- Audio recordings and speech samples
- Conversations and spoken interactions
- Transcriptions, annotations, and labels
- Speaker metadata and language metadata
- Quality review and evaluation data
- Usage and interaction data related to the platform
You acknowledge that Contributed Data may reflect real-world conversations and may include incidental personal or sensitive information depending on the nature of the recording.
3. Informed Consent and Acknowledgment
By participating, you expressly acknowledge and agree that:
- You understand that audio recordings and related data may be uploaded, processed, and reviewed through the Services
- You understand the types of data being collected and how they may be used
- You consent to the collection, processing, storage, annotation, and use of such data
- You are responsible for ensuring that you have all necessary permissions, notices, and consents from individuals whose voices or information may appear in uploaded recordings
- You may stop participation at any time by discontinuing use of the Services
4. Grant of Rights
4.1 License Grant
You grant Annote a worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to:
- Use, reproduce, process, analyze, modify, and annotate Contributed Data
- Create derivative works, datasets, and machine learning training corpora
- Distribute, sublicense, commercialize, and otherwise exploit the data and related outputs
4.2 Scope of Rights
This license applies to:
- Raw audio recordings
- Transcriptions and annotations
- Processed and labeled datasets
- Aggregated or anonymized datasets
- Derived models, embeddings, outputs, analytics, and insights
4.3 Sublicensing and Commercial Use
Annote may provide access to Contributed Data (including derivatives) to third parties, including:
- Commercial partners
- Research institutions
- AI developers and model providers
- Customers using Annote's annotation, evaluation, or data services
for purposes including training, evaluation, benchmarking, research, analytics, and product development.
4.4 Survival
All rights granted under this section survive termination of this Agreement and cannot be revoked with respect to data already collected, processed, or shared.
5. Contributor Representations and Warranties
You represent and warrant that:
- You have the legal right and authority to provide the Contributed Data
- Your participation does not violate any applicable laws, contracts, confidentiality obligations, or third-party rights
- You have obtained any necessary permissions or consents required for recordings involving other individuals
- You are not knowingly uploading or transmitting data that you are prohibited from sharing
- You understand that you should not intentionally upload highly sensitive, classified, or regulated information unless specifically authorized and protected under separate agreements
6. Privacy and Data Handling
6.1 Safeguards
Annote implements reasonable administrative, technical, and organizational safeguards designed to protect Contributed Data, including:
- Encrypted data transmission and storage
- Access controls and authentication mechanisms
- Internal access restrictions and audit logging
- Project-level permission controls
- Data handling and review procedures designed to reduce unauthorized access
6.2 Limitations
While these safeguards are actively maintained and continuously improved, you acknowledge that:
- Audio recordings may contain unexpected or sensitive information
- Automated systems may not perfectly identify or remove all sensitive content
- You remain responsible for exercising discretion when uploading recordings through the Services
7. Data Retention and Use
Contributed Data may be stored, processed, and used by Annote for an indefinite period for purposes including:
- Research and development
- Model training and evaluation
- Annotation and benchmarking services
- Quality assurance and analytics
- Commercial products and services
8. Withdrawal
You may stop participation at any time. However:
- Data already collected may continue to be used in accordance with this Agreement
- Data already processed, incorporated into datasets, or shared with third parties may not be withdrawn
9. Compensation
Participation in the Services may be compensated at Annote's discretion. Where applicable, compensation terms (including rates, eligibility, and payment structure) will be communicated separately and may change over time.
Annote reserves the right to modify, suspend, or discontinue compensation programs at any time.
10. Limitation of Liability
To the maximum extent permitted by law, Annote shall not be liable for any damages arising from your participation in the Services, including any disclosure or exposure of personal or sensitive information contained in uploaded recordings.
11. Indemnification
You agree to indemnify and hold harmless Annote, its affiliates, customers, partners, and service providers from any claims, damages, liabilities, or expenses arising from:
- Your participation in the Services
- Your breach of this Agreement
- Any Contributed Data uploaded or provided by you
- Any failure to obtain necessary permissions or consents related to recordings
12. No Employment Relationship
Your participation does not create any employment, contractor, partnership, or joint venture relationship with Annote.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.
14. Updates
Annote may update this Agreement from time to time. Continued use of the Services after an update constitutes acceptance of the revised Agreement.
